Alison R. Harrall

Biography

Alison Harrall focuses her practice on a broad range of transactional matters, acting as corporate counsel and practicing in the areas of corporate governance, private equity, venture capital financing, debt and equity financing, and mergers and acquisitions (“M&A”).

She represents middle-market and emerging growth companies across various industries including manufacturing, technology, healthcare, accounting, retail, and engineering. Alison assists clients in all stages of their life cycle, from incorporation, seed and venture capital financing, growth financing, strategic relationships, business combinations, and M&A. She works with venture capital funds, private equity funds, and financial institutions, and with both lenders and borrowers on a variety of commercial finance transactions, including asset-based financings, acquisition financings, and syndicated facilities of all sizes.

As a transactional attorney, Alison provides the legal guidance and business counsel to devise sophisticated strategies with a client’s best interest and bottom line in mind. She anticipates risks and focuses on the key issues to successfully close their deal.

  • A local insurance firm in its sale to a regional firm. 
  • A local grocery chain in its acquisition of a local convenience store.
  • Structured and negotiated numerous secured credit facilities of all sizes, including syndicated and asset-based facilities, both as counsel to major lending institutions and as borrower’s counsel.
  • A public engineering company in its $250 million syndicated loan facility.
  • The sellers of an underground cable diagnostics company in a stock sale transaction to a telecommunication company.
  • The sellers of a recycling and waste service company to a national waste management company.

Outside of work, Alison serves a volunteer mentor for the Babson Black Women’s Entrepreneurial Leadership Program and for the Babson Women’s Innovating Now (“WIN”) Lab for entrepreneurs. She also is a board member for Kids Corner, a non-profit after-school program.
