Biography

Chad Porter handles a wide range of business law matters, including mergers and acquisitions, commercial financing arrangements, private equity transactions, and securities transactions and compliance.

Chad is known for his reliability, responsiveness, and extensive transaction experience. Chad stands out for his commitment to client service, communication, and effective situational and problem management skills. His business acumen and more than 20 years of experience enable him to educate clients on market standards and how to navigate and approach issues to get desired results. These traits work in concert with Chad’s command, assertiveness, and ability to drive a deal over the finish line.

Outside the Firm

Chad enjoys spending time with his wife, family, and friends; cooking; traveling to new places; live music; anything sports related; outdoor adventures; movies and the ongoing challenge of playing golf well for 18 holes.

M&A Transactions

Mergers, acquisitions, and sales of a variety of companies and commercial assets with transactions ranging from several hundred thousand dollars to over $500 million, including:

  • Private-equity backed acquisitions and dispositions across numerous industries, including technology, professional services, healthcare, consulting, distribution, manufacturing, consumer products and services, and staffing.
  • Merger and other acquisitions involving global distribution companies, each including anti-trust filings in numerous countries.
  • Acquisition of chemicals companies in the United States, China, and Mexico.
  • Acquisition of technology company, including subsidiary formation and acquisition in the United States and India. 
  • Sale of a public pharmaceuticals company involving merger and tender offer.
  • Roll up of several international distribution companies.
  • Acquisition of a public pharmaceuticals company involving registered public offering and joint proxy statement.
  • Finance, merger, and going private transaction involving a public wind turbine company.
  • Numerous rollover equity, equity redemption, business combination, and joint venture transactions.

Representing lenders and agents in numerous bilateral and syndicated asset based, commercial, and real estate transactions throughout the United States and internationally, including:

  • Syndicated lending facility to a public company.
  • Structured numerous credit facilities for major lending institutions secured by collateral and multiple properties throughout the United States, Canada, and Mexico. 
  • Sales of a debt facilities from one lender to another.
  • Real estate financing and development facility for a major lending institution secured by multiple properties throughout the United States.
  • Unitranche credit facilities. 
  • Structured complex transactions relating to secured party rights and remedies, including foreclosures, forbearances, restructurings, and secured party sales and acceptances.

Representing various U.S. publicly listed companies with respect to reporting, board of director oversight, and other governance matters; equity compensation; and securities-related transactions, including mergers, acquisitions, divestitures, tender offers, exchange offers, and offerings. Respective transactions include representing NASDAQ and NYSE listed companies with respect to:

  • Numerous registered public offerings, including IPOs, and private placements of common stock, warrants, and other convertible securities.
  • Finance, merger, and going private transaction.
